Coordinator Agreement
Take a Chance Events — Coordinator Agreement
This Coordinator Agreement (“Agreement”) is entered into between Take a Chance Events, LLC, a Nevada-based company (“Company”), and the individual completing this agreement (“Coordinator”).
By signing below, Coordinator agrees to the following terms:
1. Role & Relationship
Coordinator is engaged as an independent contractor, not an employee.
Coordinator understands:
- They are not an employee, partner, or agent of the Company
- They are responsible for their own taxes, expenses, and business activities
- They do not have authority to bind or represent the Company legally unless explicitly authorized
2. Scope of Work
Coordinator agrees to:
- Identify and secure appropriate venues for events
- Organize, host, and facilitate events under the Take a Chance Events brand
- Represent the brand professionally at all times
- Assist in promoting events within their local market
- Follow all event procedures, systems, and guidelines provided by the Company
- Submit required event details and post-event reports through Company systems
Coordinator agrees to follow all operational guidance provided through the Coordinator Portal.
3. Compensation
Coordinator will be compensated on a per-event basis, calculated as a percentage of event revenue.
- Compensation structure will be determined and communicated by the Company
- Payment is only earned for events that are successfully hosted and completed
- Company reserves the right to adjust compensation structure with notice
Coordinator acknowledges:
- No payment is guaranteed
- Earnings depend on event performance
4. Brand Representation
Coordinator agrees to:
- Represent Take a Chance Events in a professional, respectful, and aligned manner
- Follow brand standards, tone, and experience expectations
- Not alter branding, messaging, or positioning without approval
Coordinator understands they are an extension of the brand in their local market.
5. Confidentiality
Coordinator agrees that all non-public information is confidential, including but not limited to:
- Event systems and processes
- Customer data
- Marketing strategies
- Business operations
- Vendor and venue relationships
Coordinator agrees:
- Not to share, copy, or use this information outside of their role
- To protect all participant data and personal information
6. Non-Circumvention & Protection of Business
Coordinator agrees that during their time working with the Company, and for a reasonable period after:
- They will not use Company systems, contacts, or knowledge to create competing events
- They will not solicit Company customers, venues, or partners for competing businesses
- They will not replicate or duplicate the Company’s business model for personal gain
This clause is intended to protect the Company’s brand, systems, and growth.
7. Media & Content Release
Coordinator grants the Company the right to:
- Capture and use photos, video, and audio from events
- Use Coordinator’s likeness, voice, or image for marketing and promotional purposes
This use:
- Is worldwide
- Is ongoing
- Does not require additional compensation
8. Event Responsibility & Conduct
Coordinator is responsible for:
- Maintaining a safe, respectful, and inclusive environment
- Following all event procedures
- Handling participant interactions professionally
Coordinator agrees not to engage in:
- inappropriate conduct
- harassment
- misuse of participant information
9. Term & Termination
This Agreement begins upon signing and continues until terminated.
- Either party may terminate at any time
- Coordinator must cease representing the Company immediately upon termination
- Any pending responsibilities must be completed or transitioned appropriately
10. Liability & Indemnification
Coordinator agrees to operate responsibly and professionally at all times.
Coordinator agrees to indemnify and hold harmless the Company from any claims arising from:
- their actions
- their events
- their conduct
11. Use of Company Systems
Coordinator agrees to:
- Use only approved systems (website, forms, portal)
- Submit events through Company processes
- Follow approval workflows
Coordinator may not independently publish or host events under the brand without approval.
12. General Terms
- This Agreement is governed by the laws of the State of Nevada
- If any part is found invalid, the rest remains enforceable
- This Agreement represents the full understanding between both parties
